These Terms of Service (“Terms”) govern your access to and use of the NoraVoice platform (“Service”), provided by Nora Voice Pvt. Ltd. (“Company”, “we”, “us”, or “our”).

By using NoraVoice, you agree to these Terms.

  1. Description of Service

NoraVoice is an AI-powered voice automation platform that enables businesses to:

  • Handle inbound and outbound calls
  • Automate bookings, support, and lead qualification
  • Generate transcripts, summaries, and analytics
  • Integrate with third-party systems

The Service uses artificial intelligence and automated decision-making systems.

  1. Eligibility and Account Responsibilities

You must:

  • Be a legally authorized individual or entity
  • Provide accurate information
  • Maintain account security

You are responsible for all activities under your account.

  1. Acceptable Use and Legal Compliance

You agree not to:

  • Violate any applicable laws (including GDPR, ePrivacy Directive, TCPA, or equivalent)
  • Conduct fraud, impersonation, or deceptive practices
  • Engage in unlawful robocalling or spam
  • Misrepresent AI as a human where disclosure is legally required

You are solely responsible for:

  • Ensuring lawful basis for processing personal data
  • Providing required notices to end users
  • Obtaining valid consent for call recording and AI interaction
  1. AI and Automation Disclaimer

You acknowledge:

  • AI-generated outputs may be inaccurate or incomplete
  • The Service operates autonomously unless configured otherwise
  • Outputs may not reflect your intended policies

We do not guarantee:

  • Accuracy of responses
  • Business outcomes (e.g., conversions, bookings)
  1. Call Recording and Consent

You are responsible for:

  • Obtaining consent for call recording where required
  • Informing users they may be interacting with AI

The Company is not liable for non-compliance with local laws.

  1. Data Protection and Privacy

6.1 Roles of the Parties

  • You are the Data Controller
  • We act as a Data Processor on your behalf

6.2 Processing of Personal Data

We process personal data only:

  • On your documented instructions
  • For the purpose of delivering the Service

Types of data may include:

  • Voice recordings
  • Transcripts
  • Contact information
  • Call metadata

6.3 GDPR Commitments

We implement:

  • Appropriate technical and organizational safeguards
  • Data minimization and purpose limitation
  • Encryption and secure storage practices

6.4 Data Subject Rights

You are responsible for handling requests related to:

  • Access, rectification, or deletion
  • Data portability
  • Objection or restriction of processing

We will assist where reasonably required.

6.5 Subprocessors

We may use subprocessors (e.g., cloud providers, telephony services).

We ensure:

  • Contractual data protection obligations
  • GDPR-compliant safeguards

6.6 International Data Transfers

Where data is transferred outside the EU, we rely on:

  • Standard Contractual Clauses (SCCs) or equivalent safeguards
  1. Healthcare and Sensitive Data

If you use NoraVoice in a healthcare or regulated environment:

  • You are responsible for determining whether the Service is appropriate for handling Protected Health Information (PHI) or equivalent sensitive data
  • The Service is not designed to be a medical device or clinical decision-making system

Unless explicitly agreed in writing:

  • The Company does not act as a Business Associate under HIPAA
  • No Business Associate Agreement (BAA) is provided by default

You agree:

  • Not to transmit PHI unless a separate written agreement (e.g., BAA or equivalent) is executed
  • To implement safeguards required under applicable healthcare laws
  1. Fees and Payment
  • Subscription and/or usage-based pricing applies
  • Fees are non-refundable unless otherwise agreed
  • Failure to pay may result in suspension
  1. Intellectual Property
  • We own all rights to the platform and underlying technology
  • You retain ownership of your data

You grant us a limited license to:

  • Process data to deliver the Service
  • Improve system functionality (as permitted by law)
  1. Third-Party Services

We are not responsible for:

  • Failures of third-party providers
  • Data practices of external services
  1. Service Availability

We do not guarantee uninterrupted service.

Downtime may occur due to:

  • Maintenance
  • Infrastructure failures
  • Third-party dependencies
  1. Limitation of Liability

To the fullest extent permitted by law:

We are not liable for:

  • Lost revenue or missed calls
  • AI errors or incorrect outputs
  • Indirect or consequential damages

Total liability is limited to fees paid in the last three (3) months.

  1. Indemnification

You agree to indemnify the Company against claims arising from:

  • Your misuse of the Service
  • Violation of laws (including GDPR or telemarketing laws)
  • Unauthorized data processing
  1. Termination

We may suspend or terminate your account for:

  • Breach of Terms
  • Legal requirements
  • Non-payment

Upon termination:

  • Access is revoked
  • Data may be deleted after a retention period
  1. No Emergency or Critical Use

The Service is not intended for:

  • Emergency services
  • Life-critical communications
  1. Governing Law

These Terms are governed by the laws of India.

Disputes shall be subject to courts in [Delhi / Noida].

  1. Changes to Terms

We may update these Terms at any time.

Continued use constitutes acceptance.
